Identify the rights acquired, permitted operations, customers or delivery arrangements where relevant, and the applicant’s actual control.
Read the licence and business plan together
Resolve differences between what the contract permits and what the plan promises. Keep executed terms separate from anticipated upgrades or rights not yet granted. A payment receipt may support a transaction without proving that the buyer can operate the proposed U.S. enterprise.
Formation and ownership records for the business, several years of financial statements and tax returns, a current inventory valuation, payroll registers and an employee list, the lease, supplier agreements, and a draft purchase agreement allocating the price across asset categories. Prepare a chronological evidence trail: the origin of funds, account movement, currency conversion, escrow or purchase terms, invoices, lease commitments, business registration, licences, operating agreement, projections, market analysis, and staffing plan. A credible business plan with staffing and financial projections, a valuation supporting the price paid, corporate formation in the American state, a shareholders agreement drafted to establish operational control, and an accountant tracing the source of funds all cost money before anything is submitted. Ask for the articles or formation documents, the current ownership register, titles and financing statements for vehicles and equipment, the premises lease with any landlord consent to assignment, the customer or service-maintenance contracts and their change-of-control clauses, and any insurance certificates and bonding.
