FOR IMMIGRANT INVESTORS · BEAUMONTBeaumont

Invest in anew chapter.

A hypothetical Beaumont investor receives a subscription agreement and a separate letter promising a future exit. Read the documents together before describing the capital as at risk. The label attached to a payment or side letter does not decide whether its actual repayment or return rights fit the EB-5 statute.

Start with the EB-5 eligibility and application overview

01

Identify who can require repayment

The statutory capital definition excludes a contractual right to repayment, including an investor put, even where repayment depends on cash flow. Do not assume that describing an enforceable repayment right as conditional removes the issue. An option exercisable solely at the new commercial enterprise’s discretion has a distinct statutory treatment, with withdrawal constrained by the applicable sustainment period and other requirements; it is not a blanket permission for early capital return. For gifted or borrowed capital, establish lawful source and a good-faith arrangement that does not circumvent restrictions on permissible capital sources. For clarity, exercising that enterprise-only option requires withdrawal of the petition unless the applicable sustainment period and other requirements have been fulfilled.

02

Separate a guaranteed return from a projection

Capital invested in exchange for a guaranteed rate of return is excluded under the statutory definition. Read the actual promise rather than treating a marketing forecast, a contingent business outcome and a guaranteed yield as identical. This page does not evaluate financial performance; it identifies terms that need an immigration capital analysis.

03

Retain the threshold, jobs and participation conditions

Current general amounts are US$1,050,000 or US$800,000 for a qualifying targeted employment area or infrastructure project, with statutory adjustments beginning January 1, 2027. The investor must establish lawful at-risk capital invested or actively being invested, at least ten qualifying permanent full-time jobs under the relevant method, and managerial or policy engagement. Removing a problematic side letter does not by itself establish the rest of the case. For direct employment, a qualifying permanent full-time position requires at least 35 hours weekly; independent contractors, nonimmigrants and the investor, spouse, sons or daughters are excluded from qualifying employees.

04

Distinguish exit dates from immigration dates

Petition approval is not permanent residence or work authorization. Conditional residence follows the applicable admission or adjustment process, and I-829 is generally filed during the 90 days before its second anniversary. A private maturity or exit date does not determine that filing window or automatically remove conditions. Assess any withdrawal against the actual filing and investment facts.

05

Engagement in management or policy formulation is still required

The investor must be engaged in the enterprise through management or policy formulation rather than holding a purely passive interest, which for somebody running a production company is straightforward and should still be evidenced with titles, decisions and signatures. Whether a particular rural or high-unemployment location qualifies as a targeted employment area is a factual determination supported by evidence, not a description the investor chooses. The condition is removed by filing Form I-829 with evidence that the capital remained invested and that the required jobs were created and sustained. A private placement memorandum sets out risk factors and normally states plainly that projections are not guarantees; the subscription agreement records what the investor actually agreed to; the operating or partnership agreement contains the distribution provisions that determine who is paid and in what order. A regional-center filing places capital into a sponsored project where permitted indirect job methods may apply and where other parties control construction, leasing and reporting. A limited partner in a properly structured regional-center vehicle can meet this through the rights that the partnership agreement gives, but that only works if those rights are real and documented. Where the investment is made through a designated regional centre, a defined portion of indirect and induced job creation may be counted using an accepted economic methodology, but the arithmetic still has to reach ten for every investor in the offering. Standalone and regional-centre proposals use different evidence frameworks, and a regional-centre designation does not guarantee commercial or immigration success.
