Start with the EB-5 eligibility and application overview
Identify the investor’s participation under the agreement
EB-5 requires engagement through day-to-day managerial control or policy formulation under the applicable rules. Read the organizational documents, rights and duties rather than assuming every investor must run daily operations or that a passive label removes the condition. Explain the actual role with the evidence appropriate to the entity and arrangement. Capital exchanged for a contractual repayment right or a guaranteed rate of return is excluded. An option exercisable solely at the new commercial enterprise’s discretion has a narrow exception: exercising it requires petition withdrawal unless the applicable sustainment period and other requirements have been fulfilled.
Retain the capital and job conditions
Current general investment thresholds are US$1,050,000 or US$800,000 for a qualifying targeted employment area or infrastructure project, with statutory adjustment beginning January 1, 2027. Capital must be lawful, traceable and at risk, with at least ten qualifying permanent full-time jobs per investor under the applicable rules. Direct and regional-center job evidence uses different methods. Participation rights alone do not establish these separate requirements. For gifted or borrowed capital, establish lawful source and a good-faith arrangement that does not circumvent restrictions on permissible capital sources. For direct employment, a qualifying permanent full-time position requires at least 35 hours weekly; independent contractors, nonimmigrants and the investor, spouse, sons or daughters are excluded from qualifying employees.
Understand the immigration steps after investment
Investor-petition approval is not itself residence. The applicable immigrant-visa or adjustment process follows subject to eligibility and visa availability. Residence is initially conditional; I-829 is generally filed during the 90 days before its second anniversary to seek removal of conditions. Delegating daily business work does not automatically delegate or eliminate the investor’s immigration obligations. Conditional residence begins at immigrant admission or adjustment approval, not at investment or petition approval.
Decide between a regional-center project and a direct investment
Each investor must create at least ten full-time positions for qualifying United States workers, and the word full-time carries its own definition of a minimum weekly hours commitment rather than any combination of part-time work. The standard qualifying investment is one million fifty thousand dollars, reduced to eight hundred thousand for an investment in a targeted employment area or an infrastructure project, under the framework set by the 2022 Reform and Integrity Act. A limited partnership interest in a regional-centre project satisfies that differently from a direct investment in an operating company, where the expectation is real involvement. Choosing a targeted employment area, whether a high-unemployment area or a rural area under the current definitions, lowers the capital threshold, and the designation must be established with the evidence the regulations require at the time of filing, not assumed from the town's character. Ask which method the project uses, how many jobs it allocates to each investor, and how many investors it plans to admit. Source and path of funds can usually be documented with effort; whether the project’s structure supports the job creation and the participation requirement is not something the investor can cure by producing one more record. Read the offering documents, escrow provisions, repayment priorities, fees, borrower security and job-creation methodology with qualified financial advisers. In a regional-centre project, indirect and induced jobs may be counted under a reasonable methodology, which is why the economic report attached to that project matters as much as the offering documents.
