Identify deposits, remaining conditions and rights needed to operate. Some documents describe future events rather than completed commitments. E-2 also requires treaty nationality, development and direction, substantial at-risk investment, nonmarginality and departure intent.
The enterprise must be at least fifty percent owned by nationals of the treaty country, and the investor must additionally develop and direct it, which ordinarily means majority ownership or demonstrated operational control. Direction is not defeated merely because an agreement contains ordinary brand standards, a reservation system or a fleet program; the question is whether the actual agreement leaves the investor with operational control. Identify the business being purchased or built and exactly what the proposed spending covers, flagging costs that sit outside a headline purchase price and distinguishing firm estimates from money already paid. If the revised plan can no longer support more than a minimal living for the household, discuss whether a significant economic contribution is demonstrable, or whether the territory itself should change before capital becomes irrevocable. Majority ownership is the usual proof, but a franchise agreement that reserves most operating decisions to the franchisor can undermine it, so the agreement's control clauses are examined alongside the share percentage.
