Identify the consent requirement and actual status rather than describing the right as already transferred.
Track the operating dependencies
Match each important asset or agreement with the applicable closing record. Explain how the business can operate if an approval remains pending. The immigration narrative should not silently assume a seller can transfer rights that require another party’s action.
The share register and constitutional documents, the shareholders' agreement, every licence and permit with its holder, the equipment and vehicle schedule, current contracts and customer list, receivables, financial statements and tax returns, payroll records and the lease or deed for the yard. Receipts and bank records for sums actually spent: deposits paid, equipment invoices and payments, the signed lease with rent transferred, payroll for retained staff, and business account statements showing the funds arriving and being used. Request the entity documents, the asset list with titles for vehicles and equipment, the premises lease and its assignment terms, the service contracts and whether they survive a change of ownership, and any liens registered against the assets. Bank records tracing funds from their lawful origin to the enterprise, the purchase agreement, escrow terms, loan documents identifying what secures each borrowing, and receipts for expenditure already made all speak to commitment.
