Read the general pathway comparison overview
An operating model using vendors does not itself decide whether L-1 or E-2 fits the applicant.
For L-1, establish the transfer and duties
On the transfer side, the operating model is a fact to explain, not an answer. Establish the corporate relationship — parent, branch, subsidiary or affiliate — and that business is being done on a regular basis both inside the United States and in another country. The beneficiary must show twelve continuous months of full-time qualifying employment with the group outside the country, falling in the three years before the petition. Presence in the United States does not add to the year, and brief visits are not treated as interrupting it. The qualifying year abroad may be managerial, executive or specialized-knowledge in character; the requested classification is tested on the U.S. duties, meaning primarily managerial or executive work for L-1A, or knowledge specific to this company’s product, process or procedures for L-1B. Where implementation is bought from vendors, attribute it to the vendor. A contracted provider is not a reporting line, and an organizational chart that absorbs another company’s employees into the applicant’s team misdescribes the very fact the managerial claim depends on.
For E-2, establish the acquired business
On the investment side, the acquisition has to satisfy conditions that owning a business does not supply automatically. The applicant needs treaty-country nationality personally, and the enterprise needs it too, measured by ownership of at least half by treaty-country nationals. Development and direction rests on ownership of half or more, or on control of the enterprise’s operations in practice. Capital has to be lawfully derived, irrevocably committed, genuinely at risk and substantial for the enterprise concerned; no numeric minimum is prescribed. The business must be real, operating and not marginal — beyond a minimal living for the household, or a significant contribution to the economy — and where the capacity is forecast, five years of ordinary operation is the customary horizon for the projection. The file must still show intent to depart on the conclusion of E status. Reconcile the closing documents against the rights the business actually needs in order to trade. Borrowing secured on the enterprise’s own assets is excluded from the investment even where personal assets are pledged as well; borrowing secured only against personal property, or unsecured personal borrowing, may count.
Identify the unresolved structural issue
Set the two gaps side by side before choosing a process. A transfer needs a qualifying group relationship and a qualifying year abroad; buying an unrelated American company creates neither, whatever the purchase agreement is called. An investment needs treaty nationality, control and committed capital; a senior job title creates none of them. Hypothetical example: a Parkland County software firm whose deployment work is performed by a U.S. subcontractor is choosing between transferring its delivery lead and having its owner buy the subcontractor outright. The first turns on whether the delivery lead’s year abroad and U.S. duties fit a category, and on whether the two companies are genuinely related; the second turns on ownership, funding and control, and would make the subcontractor’s staff the enterprise’s own employees. Naming the file L-1 or E-2 first and then hunting for facts to fit is how both versions fail.
