Read the general investor planning overview
A promised release of enterprise security should be distinguished from an effective change and from the remaining investment requirements.
Collect the complete security arrangement
Security over a business rarely lives in one document. Read the promissory note, the general security agreement, any guarantee, any subordination or intercreditor arrangement and every executed amendment together, because a term struck out in one instrument is often reinstated by another. Then identify precisely which borrowing funded which part of the investment: an owner who drew on three facilities across two lenders cannot answer the question with a single account balance. Match each advance to the account it landed in and to what it paid for. Be exact about the difference between a lender's letter saying it will discharge its registration and a discharge that has actually been registered. A personal guarantee is a common source of confusion here, because it tells you the owner is personally exposed but says nothing about whether the lender also holds a charge over inventory, receivables or equipment. Confirm the registered position rather than inferring it from the guarantee.
Apply the borrowing distinction
The distinction that decides these files is what the lender can seize, not who signed. Borrowing secured on the assets of the enterprise itself does not count toward the investment, and it still does not count where the owner has additionally pledged a house or a personal portfolio; adding personal security to an enterprise charge does not convert the advance. Borrowing secured only against personal property, and unsecured personal borrowing for which the owner is the one at risk, can count provided the remaining conditions on lawful source, substantiality, commitment and enterprise character are also satisfied. If the arrangement genuinely changes, the change has a date, and the file should carry that date and the instrument that created it. Assess the evidence as it stands on that date. Hypothetical example: a lender agrees in principle in March to release its charge over equipment and registers the discharge in July; a submission prepared in May describes an intention, not a completed change, and no single release cures an unexplained source of funds or an enterprise that is not yet operating.
Reconcile the funding with the business
Settling the collateral question does not settle the case, so restate the whole test against the file. Treaty nationality has to hold twice over: for the investor personally, and for the enterprise, where ownership traced to treaty-country nationals normally has to reach at least half. The investor must develop and direct the business, established either by owning at least half of it or by showing genuine operational control. The capital itself must be of lawful origin, substantial measured against what this enterprise actually costs to acquire and run, and irrevocably placed at risk in a real enterprise that is not marginal; there is no fixed dollar threshold to clear, which is why proportion and commitment carry the argument. Not marginal means the business can generate more than a minimal living for the investor and the family, or contribute significantly to the economy, with that capacity normally reached within five years of ordinary trading. The investor must intend to depart once E status ends. The borrowing rule survives every amendment: money secured on the enterprise's assets is excluded, including where personal assets are pledged in addition, while personal-only secured borrowing and unsecured personal borrowing can qualify if the remaining conditions are satisfied. State which sums have actually been committed and which events are still outstanding, and never let a filing date persuade the account to record a lender's intended step as a completed one.
