Can I count a business loan secured only by the enterprise’s assets as my qualifying E-2 capital?

THE DIRECT ANSWER

Funds secured by the investment enterprise’s assets do not qualify on that basis as the investor’s capital at risk. Review the actual loan, security and funding arrangement.

Trace risk rather than only the available loan amount

E-2 has no universal minimum price that automatically cures the issue. Identify lawful funds committed to the real enterprise and assess substantiality in relation to its cost. Keep legal, transaction and current official visa charges distinct rather than assuming every budget item or financed dollar qualifies as investment.

Prepare a post-closing cash schedule that separates purchase consideration, inventory, lease deposits, payroll reserve, legal fees, immigration costs and money still under the investor's control. Government charges depend on the route taken: a visa application at a consular post or a change of status filing, with fees published by the Department of State and USCIS respectively rather than quoted from memory.
