Identify the rights retained, their duration and how they affect the applicant’s actual operational authority.
Compare the agreement with the proposed role
Use executed documents and accurate effective dates. A business plan calling the applicant the owner-manager should agree with the rights actually obtained. Do not represent a future transfer of voting or operating control as already completed, and do not assume every protective seller right has the same effect.
Formation documents and the current ownership ledger, three years of financial statements and tax returns, payroll registers and an employee list, equipment schedules and customer contracts, and a draft purchase and shareholder agreement that a lawyer can test against the treaty requirements. Signed client agreements or engagement letters, issued invoices and payments received, a business bank account in the company's name, registration and any required licence, insurance certificates, a lease or coworking agreement, and supplier or subcontractor contracts. Build a dated transaction map covering every agreement, amendment, payment, delivery, escrow release, ownership transfer, and unsatisfied condition, and place a supporting bank record, invoice, registry entry, or closing document beside each one. Request the full set before committing anything: the capitalization table, the shareholder or operating agreement, bylaws, board and shareholder resolutions, the subscription or purchase agreement, recent financial statements, corporate registration filings, and any employment agreement offered alongside the stake.
