THE SHORT ANSWER

An executive delegation and an investor’s control rights should be examined under their own requirements.

01

For L-1, explain the qualifying transfer

Authority inside a corporate group and authority over an owned business come from different places, and the L-1 side is the one that depends on an employment history. The petition needs a qualifying relationship between the entities as parent, branch, subsidiary or affiliate, both doing business regularly and continuously, one in the United States and the other in at least one further country, and one continuous year of full-time qualifying employment abroad within the three years before filing. That foreign year may have been managerial, executive or specialized-knowledge work in an ordinary transfer, while the American role has to match whichever classification is requested. Days worked inside the United States do not count toward the year, though short visits do not automatically break its continuity. For an executive proposal, describe the direction of the organisation or of a major component, which goals and policies the person sets, what they may commit without approval, and how far the board's supervision actually reaches. A reservation of authority in a shareholders' agreement is one fact in that assessment, not the whole of it.

02

For E-2, connect control with the investment

On the E-2 side, authority is bought rather than delegated, and the evidence follows ownership and money. Treaty nationality must hold for the investor and for the enterprise, with ownership traced to treaty-country nationals normally reaching at least half. Development and direction is shown by holding at least half of the enterprise or by demonstrating actual operational control. The capital must be lawfully obtained, substantial relative to this business, and irrevocably committed and at risk in a real enterprise that is not marginal, with no universal dollar minimum to point at. Not marginal means capacity beyond a minimal living for the investor and family, or a significant economic contribution, ordinarily achievable within five years of normal trading. Intent to depart when E status ends is still required. Trace the share register, the voting rights and any shareholders' agreement rather than assuming that an executive appointment establishes either nationality or qualifying investment. And on funding, money secured against the enterprise's own assets is excluded even where personal assets are pledged too, while personal-only secured borrowing and unsecured personal borrowing may qualify if the other conditions are met.

03

Compare the complete facts

Set the two records side by side and name the gap in each. A person can hold genuine executive authority in the American company and still lack the qualifying year abroad, or lack the corporate relationship between the entities, which ends the L-1 analysis regardless of how the role is described. The same person can have the money and the willingness to run the business and still fail the E-2 structure, because the ownership does not trace to treaty-country nationals, or because the funds are secured on the enterprise, or because the enterprise as planned cannot exceed a minimal living. Write those gaps down explicitly instead of letting the stronger route paper over the weaker one. The sequencing follows from that. Start dates for work, and any plan for accompanying relatives to study or take employment, should be set from whichever process the family is actually eligible for and from the evidence that process needs, not from the title printed on the business plan.
