Read the general pathway comparison overview
Decide whether the proposed facts support a qualifying group transfer, a treaty investment, or neither before choosing a label.
For L-1, establish the group and job
For the transfer route, start with the corporate map and the employment record. The petitioner and the foreign employer must be related as parent, branch, subsidiary or affiliate, and both must be trading — American operations and operations in at least one other country. A full year of continuous full-time qualifying employment abroad, inside the three years before filing, is the threshold. Periods in the United States are not credited toward the year, although occasional short visits do not break it. For the year abroad, managerial, executive or specialized-knowledge employment all count; the U.S. role must satisfy the category actually requested. Where the proposal is a function manager, the evidence must show management of an essential function — direction, discretion, senior standing within the organization — rather than skilled performance of the function’s own tasks. Ownership of shares in both companies by the same individual is not, by itself, the qualifying relationship.
For E-2, establish nationality and investment
For the treaty route, the questions are nationality, money and control, and none of them follows from another. Treaty nationality attaches to the applicant and, ordinarily through a fifty-percent or greater holding, to the enterprise itself; trace that through any partner change rather than through the company’s letterhead. The applicant must be the one developing and directing the business — a fifty-percent stake, or operational control in fact. The investment must be lawful in origin, irrevocably placed, at risk, and substantial against this enterprise’s cost; the regulations set no dollar minimum. The business must be real and operating and more than marginal, meaning more than a marginal living for the investor’s family or else a significant economic contribution, with projections normally tested against a five-year horizon of normal operation. Departure intent at the end of E-2 remains a requirement. On funding, borrowing secured against the enterprise’s assets does not count as the investor’s capital even where personal assets are pledged as well; borrowing secured only on personal property, or unsecured personal borrowing, can.
Compare the missing facts before selecting the process
Then write down what each proposal is missing, in two separate lists. A transfer that lacks a qualifying corporate relationship is not rescued by the applicant’s personal shareholding in both companies, and an investment that lacks committed capital is not rescued by a long employment history. Work permission for the family, and the date on which anyone may begin working, follow from the status actually granted rather than from the description in the business plan. Hypothetical example: a Morinville cabinet manufacturer’s operations lead is offered a U.S. role while also being invited to take a minority stake in the American company. Confirming that a separate crew performs the shop-floor work strengthens the managerial account for L-1 but says nothing about treaty ownership; completing the share purchase clarifies the investment structure but supplies no qualifying year abroad. Because the two files need different records from different people, keeping the action lists apart is what stops a single document being counted as progress on both.
