Certain properly structured arrangements can qualify when release is linked to visa issuance. The actual escrow conditions need review; simply calling an account escrow does not establish the necessary investment commitment.
Agree on the decision points before money moves
Have the parties identify the release event, who verifies it and what happens if the condition is not met. Coordinate that language with transaction and immigration advisers before signing. Keep the seller's preferred closing date, the application's progress and the planned opening as separate milestones. If the terms change, provide the replacement agreement for review rather than assuming approval of an earlier draft covers the revision.
Set internal milestones for the diligence pack, the funds trail, and the final evidence review, and confirm current submission instructions for the route actually chosen before committing to any date. Allow real time for the parts nobody can rush - tracing funds through several accounts, preparing projections the seller's historical figures will actually support, and confirming who owns what at closing. Written consent from the licensor, the executed assignment, an amended purchase agreement reflecting whatever was settled, and a revised operating plan each need to be in hand before the file can describe readiness accurately.
